A)
Introduction
As
of Oct. 11, 2006, Name of the National Iranian Copper Industries Company (NICICO),
as 434th company accepted in group of "Manufacturing Fundamental
Pricy Metals and Non-Ferrous Metals", has been registered and envisioned at the
side panel of Tehran Stock Exchange (TSE) with coded 27 – 20 – 11 and symbol of "Femeli".
It
should be mentioned that stocks of this company were transacted at
Tehran
Stock Exchange (TSE) on Feb. 4, 2007.

– 1 – History of Establishment
"Kerman
Sarcheshmeh Copper Mines Company (P.J.S)"
was set up by the government of the Islamic Republic of Iran in 1351 (1972). On
August 29, 1972, the company was registered under number 15957 at Tehran
Province Industrial Ownership and Companies' Registration Department. In the
year 1976 upon revising company's establishment law and adopting changes on
some cases of its articles of association, the name of company was renamed to
the National Iranian Copper Industries Company (NICICO). In the same
direction, Central Office of the company was relocated to
Kerman
Province
(65th Km of Rafsanjan, Location of company). Following this change,
the aforementioned company was registered under number 2430 at Kerman Province
Non-Trade Institutes and Companies' Registration Department on March 10, 1992.
Exploitation from mines of company started in 1361 (1983). In the year 2002
upon setting up Iran Mines and Minerals Industries Development and Renovation
Organization (IMIDRO), the National Iranian Copper Industries Company (NICICO)
was introduced as one of the major and main companies of the organization.
By
virtue of proceeding of the Extraordinary General assembly of shareholders
dated Dec. 30, 2004, entity of the company was turned from Private Joint Stock
(Pvt.J.S) to Public Joint Stock Company (P.J.S) and following Number 32/69596,
this company was registered on March 18, 2005 at Companies' Registration
Department General. It should be mentioned that this subject has been
advertised and archived in the official gazette of the Islamic Republic of Iran
on April 17, 2005.

– 2 – Scope of Activity of Company
Scope
of activity of company, according to Article 2 of its articles of association,
includes as follows:
"Exploration,
exploitation, and extraction from mines of Iran's copper mines, production of
high-purity copper ore and copper metal products, distribution and selling
high-purity products of copper ore and copper metal, distributing and selling
products both inside and outside the country (whether domestic or foreign),
participating in investment-prone projects pertinent to the copper industries,
as well as conducting all operations and financial, trade, industrial mineral
and service transactions directly and/or indirectly, performing all operations
pertinent to all and/or each of subjects as mentioned in above both inside and
outside the country, etc.

The
government of the Islamic Republic of Iran is considered as the first and
initial founder of the National Iranian Copper Industries Company (NICICO). The
